What’s New in LexDAO

LexDAO continued its mission to support and drive growth in the intersection between the law and web3 technology this month with several exciting developments ranging from policy initiatives to the development of new tools and the expansion of our membership system.

Defense of Illinois Personal Property Against HB3479 [advocacy]

Last month, we highlighted a petition to halt the passage of Illinois Bill HB3479 that was set to significantly impact personal property ownership as it pertained to digital assets in that state. This month, the Illinois legislature ended its current term without passing the bill. LexDAO’s position as an inclusive and open to the public non-profit community within the web3 ecosystem well-known for providing non-biased public goods allowed us to work closely with large organizations in this space to advance beneficial advocacy interests. We are grateful for the community’s engagement and support of this initiative. To read more, see the DeFi Education Fund’s Twitter thread on the topic.

LexDAO Co-Hosts Próspera Legal Engineering Summit [event]

LexDAO, Próspera, and Infinita VC co-hosted the Legal Engineering Summit 2023 between May 9-12, 2023 on the island of Roatan, Honduras. LexDAO’s Kyle Smith (bestape#3069) was in attendance and the DAO’s members were able to advance LexDAO’s vision of Ricardian LLCs as functional frameworks for legal ownership.

The mental model of Ricardian LLCs operates on the principle of inheritance, allowing one entity or source to inherit the properties of its parent progenitor. As a framework, the Ricardian LLC model allows contracts to automatically inherit legal status and rights through technical means, such as smart contracts, enabling efficient operation and transfer of rights.

An early LexDAO project, which started as a proof of concept for Ricardian LLCs, applied this framework to the creation of LLCs by utilizing a type of LLC known as the Series LLC to vest legal rights in a parent entity and allow for the generation of child entities which would inherit one or more legal rights and aspects from the parent. Rights could be held by a Series LLC formed within a particular jurisdiction, such as Delaware. Smart contracts would then allow child LLCs to be formed and automatically inherit certain legal and technical statuses from the parent in the Series through the minting of NFTs to wallet addresses associated with each child, documenting the creation of the children within the Series LLC on a blockchain. In this way, ownership of these legal rights could be simultaneously memorialized on a blockchain and represented by bearer bond style ownership of an NFT held by a separate legal entity. Although this method represents a novel transformation of the traditional systems for rights management, progress of Ricardian LLCs has been slow due to a lack of standardized recognition of Series LLCs in most U.S. States.

However, as part of the legal summit, Próspera expressed an intent to formally embrace these concepts to enable LexDAO’s vision for a Ricardian future to be realized. Próspera has approved LexDAO to draft a bill to enact legislation which would formally recognize the legal existence of Series LLCs. On top of this, Próspera and their land title registry will list these types of children in Series LLC and recognize their legal ownership of real property as vested in and demonstrated by NFTs.

One use contemplated at the Summit was the formation of a parent Series LLC with the Próspera government to hold title to real property, such as a 20-unit condominium complex. With one multi-function call to the Ricardian LLC’s solidity contract held within an address associated with the parent LLC, 20 NFTs are created—each representing legal ownership of the each individual unit in the complex while serving the same function as a physical deed—and immediately place ownership within the newly formed children of that Series LLC. The rights in each NFT would immediately revert back to the parent on dissolution of the child LLC, avoiding issues with legal process present with traditional LLCs. And this process would have the added benefit of minimizing fees to be incurred by child LLCs. Próspera’s approval of legislation would recognize Series LLC’s ability to own real property and transfer title in that property and the legal rights associated with it through NFTs registered with their land registry.

Additionally, LexDAO’s presence at the Summit was instrumental in encouraging Bitso, one of the world’s largest exchanges, to submit their first place project for judging and create pilot program to supplement SWIFT’s wiring standard using XRP starting with good-standing and approved banks in three LATAM countries. The SWIFT standard serves a critical role in our current Global financial system and the supplemental program could significantly but invisibly increase adoption of cryptocurrency in traditional retail use cases in a safe, cost-effective and reliable way.

Kyle Smith’s at ReFiSummit 2023 [event]

LexDAO’s Kyle Smith was joined by our good friends at supermodular, endaoment, and ImpactDAOs on a Governance Panel at the ReFiSummit that took place in Seattle, Washington from May 24-45. The panel discussed the field of Regenerative Finance or ReFi—an exciting and fast-growing area of web3 that seeks to promote global conservation. While this purpose has been traditionally accomplished through the sale of carbon credits, ReFi now seeks to develop a new asset: Valuation of real property in rural communities by ascribing value to the natural processes occurring on the land.

In the same way that art is valued based on its cultural significance, value can be attributed to natural resources based on their ecological worth and impact. Valuation information for land could be collected, stored on a blockchain network, and leveraged through the use of NFTs. LexDAO and our friends at the RWA Consortium, a project focused on the transformation of ownership of real world assets with roots at LexDAO, were in attendance at ReFiSummit to discuss this process and how valuations can verified on-chain. Representatives from the NVIDIA edge computing community, including Seeed Studio, were also in attendance to discuss their use of low-cost, single-board computers to serve as oracles for the blockchain networks processing this information.

Enterprise Membership at LexDAO [governance]

We initially mentioned a proposal for a new membership type at LexDAO for internet-native organizations back in our January newsletter. LexDAO is now expanding it’s membership offerings to better accommodate the growing network of web3-enabled communities and serve relevant legal and technological news, education, and tools to it’s members and these communities.

We are excited to announce that the new enterprise membership type is being actively discussed to invite a growing organization within the web3 community to join us in this mission. Enterprise membership will cost US$10,000, half of which will go towards funding LexDAO grants to build additional tools and educate the community. Enterprise Membership will provide organizations with a number of benefits. Admitted organizations will receive five individual memberships for the organization to distribute to its members. Enterprise members will also be offered a monthly “AMA” for their community to ask LexDAO questions and plan separate information sessions within LexDAO to spearhead initiatives to assist the enterprise member with various projects. Enterprise membership options are also being considered for law firms. So please contact us if your firm is interested in joining our pilot program for enterprise membership.

Community Research Survey to Support The DAO Research Collective’s State of Delegation Report [survey]

LexDAO member and the DAO Research Collective contributor, Kyler56 (Kyler56#4735), is preparing a report on the state of delegation in DAOs. To assist in collecting data for this report, Kyler56 has created a community research survey to solicit feedback from DAO contributors on the current state of DAO delegation mechanisms.

SEC Settles Insider Trading Charges Against Former Coinbase Employee [news]

The U.S. Securities and Exchange Commission announced on May 30 that it was settling its insider trading charges against former Coinbase Employee Ishan Wahi and his brother, Nikhil Wahi. The SEC filed a complaint in the U.S. District Court for the Western District of Washington against the Wahi brothers on July 21, 2022, alleging that the brothers engaged in a scheme to trade on material nonpublic information involving several cryptocurrencies ahead of multiple announcements that the assets would be listed for trading on Coinbase’s platform. Ishan was involved in coordinating the platform’s public listing announcements as part of his role at the company.

The complaint alleged that Ishan repeatedly tipped the timing and content of Coinbase’s upcoming listing announcements to his brother and to his friend, Sameer Ramadi, between June 2021 and April 2022 and would purchase specific assets ahead of those announcements. As part of the settlement, the Wahi brothers agreed to be permanently enjoined from violating Section 10(b) of the Securities Exchange Act and Rule 10b-5, to pay disgorgement of ill-gotten gains, plus prejudgment interest, and not deny the SEC’s allegations. Both bothers also pled guilty and were sentenced for conspiracy to commit wire fraud in a parallel criminal action where they were previously ordered to disgorge their gains and pay interest.

But the settlement raises questions about the strength of the SEC’s allegations. While the Wahi brothers pled guilty in their criminal action, they strongly contested the SEC’s claims. Paradigm filed an amicus brief on the brothers’ behalf arguing that the cryptocurrencies could not be securities themselves even if sold as part of securities transactions. And because the judgment entered in the criminal case had already ordered disgorgement, there were effectively no additional penalties placed against the brothers as part of this settlement. This suggests that the SEC may have sought settlement to avoid unfavorable judicial precedent on this issue.

What’s New in LexDAO and LexClinic

Spring has sprung and with it so have we! April has been a tumultuous month for the web3 industry as a whole, but LexDAO has not let that slow us down. Here is what we have been working on this past month and what is happening now.

LexDAO’s Gitcoin Beta [donate]

LexDAO’s Gitcoin Beta Round of funding has begun. LexDAO’s guild of legal engineers strive to provide the web3 community with education and resources on the intersection of web3 and the law. But this work cannot occur without contributions from the guild’s membership, and such contributions are funded by the community.

With Gitcoin’s Quadratic Funding matching mechanism, the number of donations, rather than the quantity of each donation, that are submitted are most important to enabling LexDAO to meet its funding goals. Your donations to our ongoing mission enable our organization to grow and sustain our mission of providing public goods. For Gitcoin Alpha, we received nearly 600 uinique donations! We hope to receive as many if not more during this round. And there are only nine days left to contribute.

Legal Engineering Summit 2023 in Próspera [event]

Próspera, InfinitaVC, and LexDAO are co-hosting the Legal Engineering Summit 2023. The Legal Engineering Summit, which will be held in Próspera on the island of Roatan, Honduras from May 9-12, 2023, will provide attendees with an opportunity to collaborate with legal experts from multiple jurisdictions. Legal hackers, crypto lawyers, jurisdictional polymaths, and businesses are invited to attend to further the discussion on how to create better laws for web3-centric businesses to operate under at a time where many jurisdictions are becoming increasingly hostile to the web3 industry.

The Legal Engineering Summit will also host a contest for the best blockchain, digital assets, and distributed ledger legal proposals to make Próspera the destination for innovative web3 businesses and builders.

The prizes are:

  • 1st: $1,000 in ether plus 500 Prospera Tax Credits (PTCs). PTCs can be used to pay taxes and fees in Próspera at a rate of $1 per PTC, or you can sell them on the open market.

  • 2nd: 300 PTCs

  • 3rd: 130 PTCs, which is just enough for one year of e-Residency in Próspera.

Teams do not need to physically attend the summit in order to enter the contest.

Defend Illinois personal property: petition against bill HB3479 [sign]

LexDAO Study Group has written the first of what will likely be many open letters and comments to support the crypto advocacy community with expert analysis.

LexDAO’s Hypercerts Financing [donate]

In LexDAO’s ongoing mission to provide public goods to the web3 community, significant effort is being devoted to finding responsible and efficient methods for rewarding the guild’s contributors. To further this goal, LexDAO is leveraging Hypercerts, a new protocol for funding, to support our contributors. Hypercerts aims to provide scalable and sustainable financing models for public goods in a way that rewards contributors for their impact on the community. Hypercerts’ retrospective funding rewards projects for the tangible, measurable impact they have created, and funders receive fractionalized ownership of the projects they fund. LexClinic‘s Application for a Q Root Node [announcement]

LexClinic’s application for a Q root node has been approved and the node has gone live. Root nodes monitor the operations on the Q blockchain layer and ensure compliance with the Q constitution by initiating measures to enforce compliance. The collective root nodes form the root node panel, which has special voting and veto rights depending on each individual governance context. The responsibilities of Q root nodes are more fully described in the constitution. Click here to learn more about Q root nodes and how to become a root node.

LexClinic’s Creative Commons Grant [announcement]

LexClinic was awarded a Creative Commons grant to draft two research reports on the relationship between the various Creative Commons licenses and NFTs, as well as a recommendations report. As the uses of NFTs continue to expand and additional projects are brought to market, many project developers are seeking clarity on how to handle the copyright associated with the media of their NFTs. While Creative Commons licenses, especially the “CC0” license, have grown very popular among NFT projects, questions remain about whether such licenses are truly appropriate for the medium. Organizations such as a16z and IC3 have created their own sample NFT licenses and released them to the web3 community to implement into future projects. But such licenses are optimized around United States jurisdictions and legal frameworks. And using such licenses can encourage counterproductive licensing standards and fractionalization of licensing schemas, further decreasing clarity for consumers when purchasing and utilizing NFTs.

LexDAO Co-Prompting Coding with Lobby3 [event]

LexDAO and Lobby3’s Devox Team hosted their first co-prompting coding session using ChatGPT this month. The session focused on creating prompts for ChatGPT to generate streamlit and python code. More co-prompting sessions are planned to visit our Discord to stay up to date with these events as they are planned and request specific topics be covered in future events.

LexDAO’s Website Overhaul [update]

Work continues on the upgrades to LexDAO’s website and we are excited to bring the new website to you in all of its glory. Our new and improved website will focus on delivering relevant web3 content to you with sections dedicated to research and information from LexDAO’s Study Group and membership. Construction and development of the website’s layout and features is still ongoing. RWA Twitter Spaces with Origami draws a big crowd!

A recent Twitter Space by Origami on RWA garnered significant interest on tokenizing real estate, drawing in over 2,500 listeners! Congratulations to our RWA Consortium family as they continue to lead this space! You can listen to the podcast here.

Websites as NFTS, “iNFTs,” and the legal seals initiative [article]

Kyle published an article detailing a newly developed proof of concept for “iNFTs” as a method for distributing a website’s client-side files. In essence, he’s suggesting websites should be published as NFTs. The method involves immutable and mutable parts, as well as onchain and IPFS parts. In addition to being automatically indexed and included in NFT marketplaces, such as OpenSea, within a wallet, or in a DAO dashboard, such as Kali, websites published as NFTS, i.e. “iNFTs,” can provide their own browser experience like any other wesite. This proof of concept is aimed at a “legal seals” application, but the method itself can be applied to numerous other use-cases. There are numerous benefits to this method, including the ability to publish changes to as many different places simultaneously as possible, maintaining versioning in a well-managed and transparent manner, and creating trustless, censor-resistant and commodified website-objects. Nani is Bringing the power of AI to Wallets [project]

Nani, a Telegram bot using OpenAI, is the result of a collaboration between members of KALI and LexDAO. It is designed to help you leverage the power of a large language model for wallets and DAOs, allowing users to perform actions via text prompts. LexClinic Helps with Firm’s First Stock Purchase Agreement for an Internet-Native Company

On March 24, 2023, Firm and Jorge Izquierdo executed the first Stock Purchase Agreement for an internet-native company through Firm’s protocol. The entire process occurred on-chain, end-to-end, in a massive board resolution that approved the sale by the board of directors, transferred funds to company’s treasury, and issued shares to founders subject to a vesting period. And the transaction is legally binding through the company’s Delaware legal wrapper. This work was supported by LexClinic, which helped create the code deference for the project.

LexDAO’s AI Prompting Work Sessions

It’s undeniable that artificial intelligence has significant, unrealized potential to change the way we live and work every day. And given the growing importance of the technology on myriad aspects of our lives, we at LexDAO are keen to roll up our sleeves and explore the possibilities first hand.

That is why we are excited to announce our AI prompting work sessions! Starting April 20, 2023, LexDAO will be hosting weekly workshops on its Discord for 10 weeks exploring different projects spearheaded by LexDAO’s members which apply artificial intelligence to find solutions to novel questions, achieve a better understand of AI itself, and collaborate with one another across different disciplines.

These workshops will be open to anyone who is interested in participating. Join us here for more information as we get closer to launch, and we look forward to seeing you at the sessions!

LexDAO’s Website is Getting a Makeover

LexDAO is committed to keeping pace with the latest changes in web3 and delivering that information in an easily accessible and understandable form. We are working on a complete overhaul of the LexDAO website to better serve the community with relevant resources and educational materials. More information on the change will be coming over the next few weeks, so join the discussion on Discord for more information and to contribute!

LexClinic Has Applied to Become a Q Root Node

LexClinic has applied to become a Q Root Node operator according to the Q Constitution. LexClinic’s goal is to promote internet-native organizational governance and the legal engineering profession by providing academic, career, and technical assistance to students, legal education to professionals, and resources and aid for the broader web3 community. In furtherance of this mission, LexClinic will only use Q tokens for root node staking and charitable purposes aligned with this goal.

An Open Letter on Illinois House Bill 3479

LexDAO’s study group is drafting an open letter to Governor J.B. Pritzker and members of the Illinois General Assembly regarding House Bill 3479 which seeks to regulate digital assets and blockchain technology. The letter outlines several issues present within the Digital Asset Regulation Act embedded in the bill, including the Act’s overly inclusive definition of “digital asset business activity,” the threat of hundreds of thousands of dollars in fines being imposed on actors for unlicensed business activity (even on Illinois residents), the unprecedented level of power and oversight that the Act would grant to an unelected body, the stifling of innovation caused by the technical impossibility for existing actors in web3 to comply with the Act’s requirements, and other major flaws in the proposed legislation. Several recommendations are also included in the letter proposing solutions to the issues identified in the current draft of the Bill.

We are evaluating our governance process to make it more straightforward and approachable while at the same time bolstering its resilience and efficiency. Membership. LexDAO members have voted to grant Work for Membership status to two highly-valued contributors within our community. You can read the proposal here.

The first is Anson Parker, who has been contributing to technology and partnership solutions since the middle of last year. He has continued to be an engaged member in the community and we thank him for his work.

The second is Kyler56.  Kyler has been instrumental in working with the Clinic on setting up and building out our Around The Blockchain Newsroom inside the Clinic.  He is working on Around the Blockchain (ATBC) where ATBC will be sending emails to law school and undergrad crypto clubs about our newsletter. They also plan on establishing a connection with club leaders and creating an ambassador program.  They have been discussing podcast production along with a number of communications initiatives that are valuable to the DAO and we thank him for his work.

House DClark is finalizing an application to register LexDAO’s trademark. House DClark has also received a grant from Algovera to create an interactive chat AI for the Clinic. You can read about the Algovera grant here

ATBC House received Lobby3’s donation to do research for the first four DAO Research Monthly episodes by co-hosts Jacob & Kyle (bestape) at Law of Code. The first episode will be released soon, so be on the lookout!  

Library House has almost finished codeslaw c-corp templates for anon client LC5578. The house is now in the process of securing a grant from LexDAO—similar to House JayFrank’s grant mentioned below—in order to develop many more public good templates for use in wrapper and elsewhere. We look forward to sharing these templates soon!

House JayFrank has received its $3,000 pilot donation from DAO Coalition and is beginning the process of engaging students. Please reach out to JayFrank if you are a student interested in working on explaining DAO-friendly policy in simple terms to US Senators and staff.

KALI Stupa continues to direct potential patrons to offer support to LexClinic. For the most part, this work is ‘last mile’ basic incorporation support such as EIN registration. Sometimes it progresses into more involved engagements with the Clinic or finding a law firm that offers a good fit. And Kali has procured a few deals that indicate the Clinic will get busier in this area. We still need help properly building out these services, especially before demand starts to increase, so please contact bestape if you’re interested! 

House bestape has been working on securing and liaising various deals, some mentioned above and some soon-to-be announced. The House has also been finalizing its legal entity and initial documentation and has prepared workshops for ETHDenver.

Vasu Nigam, Kyler Wandler, and Frederico Minicucci have added an extensive overview of multiple aspects of DAO governance to the DAO Research Collective. The authors address the role of decentralization in governance, the effect of governance systems on a DAO, various voting mechanisms that have been implemented across DAOs, and emerging trends in the DAO ecosystem. Each section is complete with a wealth of resources sure to quench the thirst of any legal engineer. Click here to dive in.  

In a 2009 Nobel Prize Lecture, "Beyond Markets and States: Polycentric Governance of Complex Economic Systems," Elinor Ostrom discusses the evolution of research into institutional arrangements for governing common-pool resources and public goods. This lecture begins with an overview of Ostrom’s involvement with the subject matter and the dominant world views of the mid-twentieth century on organizational forms, which serve as a backdrop against which modern frameworks for analyzing human situations and common-pool resource problems are examined. The ideas discussed remain relevant to modern DAOs providing goods and services through the collaborative efforts of independent contributors. Read the full lecture here.
